Notice of the Extraordinary General Meeting of Shareholders of JSCB Uzpromstroybank

Dear Shareholder of JSCB Uzpromstroybank!

JSCB Uzpromstroybank, located at 3 Shakhrisabz Street, Tashkent (corporate website: www.sqb.uz, email: info@sqb.uz), hereby notifies you that an Extraordinary General Meeting of Shareholders of the Bank will be held remotely on 29 August 2023 at 11:00 a.m. Tashkent time through the http://evote.uz/ electronic voting service.

AGENDA OF THE MEETING:
1. Election of a new composition of the Supervisory Board of JSCB Uzpromstroybank and early termination of the powers of certain Supervisory Board members.
2. Reduction of the authorised capital of JSCB Uzpromstroybank in accordance with Resolution No. 168 of the President of the Republic of Uzbekistan dated 18 March 2022, “On Additional Measures to Further Reduce State Participation in the Economy and Accelerate Privatisation”.
3. Approval of amendments to the previously registered resolutions on securities issues and approval of the texts of amendments to the following resolutions:
R0007-26 dated 30 October 2018, R0007-27 dated 25 December 2018 and R0007-28 dated 18 October 2019.
4. Approval of amendments and additions to the Charter of JSCB Uzpromstroybank approved by Resolution No. 01/2023 of the Bank’s Annual General Meeting of Shareholders dated 27 June 2023.
5. Approval of amendments and additions to the Regulations on the Management Board of JSCB Uzpromstroybank approved by Resolution No. 01/2023 of the Bank’s Annual General Meeting of Shareholders dated 27 June 2023.
• The record date for compiling the register of shareholders to be notified of the Extraordinary General Meeting of Shareholders is 4 August 2023.
• The record date for compiling the register of shareholders entitled to participate in the Extraordinary General Meeting of Shareholders is 23 August 2023.
• Shareholders may review the materials relating to the Extraordinary General Meeting of Shareholders on the corporate website at www.sqb.uz or request them by emailing the Bank at info@sqb.uz.
Shareholder registration will begin at 10:00 a.m. and end at 11:00 a.m. Tashkent time on 29 August 2023 through the online electronic voting service available at http://evote.uz/.
